| dc.description | This article deals with the legal nature of shares disclosure of the most common criteria for the classification of shares, as well as analysis of the essence of the procedure for the conversion of shares. In the work concludes that the term “shares” should be understood securities, which suggests that the owner made a certain share in the jointstock company and has the right to receive income in the form of a dividend. The article also examines the legal nature of the procedure for the conversion of shares, and indicates that the “conversion shares” – is a special way of placement shares, which consists in the exchange of convertible securities of the Issuer for the shares of a new (another) issue, which has characteristics of unilateral and bilateral transactions. | dc.description.abstract | Статтю присвячено дослідженню правової природи акцій, розкриттю найбільш поширених критеріїв кла- сифікації акцій, а також аналізу сутності процедури конвертації акцій. Зроблено висновок, що під поняттям «акція» слід розуміти цінний папір, який свідчить про те, що його власник вніс певний пай в акціонерне това- риство та має право отримувати прибуток у вигляді дивіденду. Також проаналізовано правову природу про- цедури конвертації акцій та вказано, що «конвертація акцій» – це особливий спосіб розміщення акцій, який полягає в обміні конвертованих цінних паперів емітента на акції нового (іншого) випуску та якому притаманні риси як одностороннього, так і двостороннього правочину.
