Формування механізму управління фінансово-економічною безпекою власників корпоративних прав

Abstract

У статті представлено підхід до формування механізму управління фінансово-економічною безпекою власників корпоративних прав, відмінність якого міститься у врахуванні параметрів організації корпоративних відносин та участі носіїв прав власності у різних корпоративних підприємствах. Подано взаємозв’язок між фінансово-економічною безпекою акціонерного товариства та параметрами організації корпоративного контрою й розподілом корпоративних прав. Агентські конфлікти представлено як фактор-загрозу фінансово-економічній безпеці. Запропоновано матрицю оцінювання корисності корпоративних прав з точки зору досягнення їх компліментарності та збільшення потенціалу протидії факторам загрозам. Розглянуто особливості моніторингу ефективності корпоративних прав та висвітлено його місце в контурах управління фінансово-економічною безпекою. Висвітлено вплив балансу інтересів прав та обов’язків власників корпоративних прав на параметри організації управління їхньою фінансово-економічною безпекою. The article presents an approach to the mechanism of financial and economic security management formation for the owners of corporate rights. The difference of such mechanism is contained in taking into account the parameters of the corporate relations organization. Another difference is foreseeing by proposed mechanism the participation of corporate ownership in various enterprises. The article describes the relationship between the company economic security and the parameters of corporate control organization and corporate rights distribution. The agency conflicts presented as the threat factor for financial and economic security. In addition the article proposed the matrix of corporate rights usefulness evaluation in terms of achieving corporate rights complementarity and increasing the degree of countering potential for threats factors. The features of corporate law effectiveness monitoring are considered and the place of such monitoring in the contours of financial and economic security management is highlighted. The influence of balance of interests of the rights and obligations of the owners of corporate rights to the parameters of their financial and economic security is given.
